Terms & Conditions

The agreement for business customers of the dfine.io website and services.

Agreement · dfine.io GmbH

These terms and conditions (“Agreement”) govern the use of the dfine.io website (“Website”) and of the products and services of dfine.io GmbH, including dfine.io Review, dfine.io Streaming Classic and the dfine.io apps (collectively, “Services”). This Agreement is a contract between the business customer (“Customer”, “you” or “your”) and dfine.io GmbH, Hufelandstr. 44, 10407 Berlin, Germany (“dfine.io GmbH”, “we”, “us” or “our”). The person who accepts this Agreement on behalf of the Customer represents that they have the authority to bind the Customer. The Customer’s own terms and conditions do not apply, even if we do not object to them. For individual offers, such as on-premises installations or dedicated TISAX instances, the offer takes precedence over this Agreement.

Business customers only

The Services are offered exclusively to businesses: entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. They are not offered to consumers within the meaning of § 13 BGB. By creating an account or placing an order, you confirm that you act in the exercise of your trade, business or profession. We may ask you to prove this, for example with your company name, a VAT identification number or a trade registration. If you are a consumer, we may refuse the order or terminate the contract, and we will refund fees paid for any period not yet used.

Accounts and membership

If you create an account for the Services, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the suspension of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend your account if you seriously violate this Agreement, as a rule only after a warning; in urgent cases, such as attacks on our systems or obviously unlawful content, we may suspend it immediately. Before we delete an account because of a violation, we give you the opportunity to download your content, unless this is unreasonable for us. If we delete your account because of such a violation, you may not re-register for our Services, and we may block your email address and IP address to prevent this.

Billing and payments

All prices are net prices in euros plus the statutory value added tax (VAT). For customers in another EU member state with a valid VAT identification number, the reverse-charge procedure applies; if the number cannot be verified, VAT is charged on future invoices. We bill through our payment provider Stripe. Paid plans are billed monthly in advance, starting on the day of purchase; the first month is charged when you order. Usage-based fees, such as conferencing minutes or ingest minutes beyond what a plan includes, are billed in arrears with the monthly invoice, based on the usage recorded by our systems; parallel streams are counted separately. Where a plan provides no usage-based fee for a limit, the limit is a hard limit: the function stops when it is reached, until the next billing period or an upgrade. You may only set off claims that are undisputed or have been finally established by a court, and may only exercise a right of retention on the basis of claims arising from this contract.

Subscriptions renew automatically each month; there is no minimum term. You can cancel at any time in the customer portal linked in your account settings, with effect from the end of the current billing period; until then you keep full access and can revoke the cancellation. Fees already paid are not refunded unless this Agreement or the law provides otherwise. When a paid plan ends, your account continues on the free plan where the Service offers one, within its limits. An upgrade takes effect immediately and is charged pro rata, depending on the Service at once or with the next invoice; a downgrade takes effect at the end of the current billing period. A switch from usage-based billing to a plan with a fixed price settles the usage so far in the same invoice and starts a new billing period on that day. Free plans have no time limit and end when you delete your account. We may change prices for future billing periods; we will announce a change by email at least six weeks before it takes effect, and you may cancel with effect from that date. We may refuse an order without giving reasons.

If a payment fails, we notify you by email and the payment is retried automatically. If the first payment of an order is not completed, we may cancel the order; in dfine.io Streaming Classic this happens automatically after 24 hours. If a later payment still fails after the retries, we may pause your account until the open invoice is paid, or end the paid plan. A pause ends automatically once the invoice is paid.

Term and termination

The contract runs for an indefinite period. You can end a paid plan as described in the section “Billing and payments”, and the contract as a whole by deleting your account. You can delete your account yourself in the account settings; depending on the Service, this requires that a paid plan has been cancelled or has ended and that no stream is live. Deletion is final; we keep only invoices and other records that we must retain under tax and commercial law (§ 147 AO, § 257 HGB), and logs for the retention period stated in the Data Processing Agreement. We can terminate a paid plan with effect from the end of a billing period, and a free plan at any time, in each case giving at least one month’s notice by email. Either party may terminate for good cause without notice; good cause for us exists in particular if you are more than one month in default with a payment despite a reminder, or if you seriously violate this Agreement despite a warning. You can download your content until the contract ends. When it ends, we return or delete the data we process on your behalf as set out in § 7 of the Data Processing Agreement.

Data processing (GDPR Article 28)

Where dfine.io GmbH processes personal data on your behalf in providing the Services, it acts as a processor and you act as the controller. Our Data Processing Agreement (DPA), available at https://dfine.io/avv-en, forms an integral part of this Agreement and is deemed concluded between you and dfine.io GmbH upon your acceptance of this Agreement; no separate signature is required. The DPA governs such processing, including sub-processors and technical and organisational measures.

Accuracy of information

Information on the Website may occasionally contain typographical errors, inaccuracies or omissions, including about promotions and offers. We may correct such errors and update information at any time. If an order is based on an obvious error in a price or a description, we may withdraw from the contract within a reasonable time after becoming aware of the error and will refund any amount already paid; statutory rights of rescission remain unaffected. We are only obliged to update information on the Website, including prices, where the law requires it. A stated update date does not mean that all information on the Website or in the Services has been changed or updated.

Availability target

We aim for an availability of the Services of 99 % per calendar month, measured at the point where our infrastructure hands over to the internet. This is a target, not a guarantee within the meaning of § 443 BGB. The following do not count as unavailability: (1) scheduled maintenance, which we announce in advance where possible; (2) interruptions caused by you or your activities; (3) outages that do not affect the core functions of the Services; (4) causes beyond our control, in particular force majeure and failures of third-party networks; and (5) the automatic termination of continuous streams under the section of that name. If availability falls below the target in a month, your statutory rights, in particular to reduce the fees, remain unaffected; further claims exist only under the section “Limitation of liability”.

Although the Website and Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Website. Your linking to any other off-site resources is at your own risk.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website and Services: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any applicable laws or regulations; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Website and Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Website and Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Website and Services for violating any of the prohibited uses. The Restrictions form part of this Agreement.

Your content

You remain the owner of all files, comments and other content you upload, share or stream through the Services. You grant us a simple, non-transferable right, limited to the term of the contract, to store, copy, transcode, transmit and display your content to the extent necessary to provide the Services to you and to the recipients you choose. You confirm that you hold the rights needed for this. We do not check content before it is uploaded. If we become aware of unlawful content or of a substantiated notice that content infringes the rights of third parties, we may block access to it until the matter is resolved; we will inform you of this.

Intellectual property rights

All rights to the Website, the Services, their software including the dfine.io apps, and our trademarks and logos remain with dfine.io GmbH or its licensors. For the term of the contract, we grant you a simple, non-transferable right to use the Services and the apps for your own business purposes as provided in this Agreement. You may not copy, modify, decompile or reverse engineer the software, except where the law permits it (§§ 69d, 69e of the German Copyright Act, UrhG). Open-source components in the apps are subject to their own licences, which take precedence. Other trademarks and logos shown in connection with the Website and the Services may belong to third parties; this Agreement grants no right to use them.

Warranty

We provide the Services with the features described on the Website and in our documentation at the time of your order. We will remedy defects within a reasonable time after you report them. Liability without fault for defects that already existed when the contract was concluded (§ 536a (1), first alternative, BGB) is excluded. We do not warrant that the Services suit purposes other than those described, or that third-party products, devices and networks you use with them work without interruption. You are responsible for keeping copies of your files and data outside the Services. For free plans, we are liable for defects only if we fraudulently conceal them.

Limitation of liability

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee. For slight negligence, we are liable only for the breach of an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely; in that case our liability is limited to the damage that was typical and foreseeable when the contract was concluded. Liability for slight negligence is otherwise excluded. For the loss of data, we are liable only for the effort that would have been needed to restore the data from regular backups. If you use a free plan, we are liable only for intent and gross negligence; liability for injury to life, body or health and under the German Product Liability Act remains unaffected. These rules also apply to the personal liability of our employees, representatives and vicarious agents.

Indemnification

You will indemnify us against claims of third parties that arise because content you upload, share or stream, or your use of the Services, culpably infringes the rights of third parties or applicable law. This includes the reasonable costs of legal defence. We will inform you of such a claim without undue delay and give you the opportunity to respond to it.

Severability

If individual provisions of this Agreement are or become invalid, the remaining provisions remain valid. The statutory provisions apply in place of the invalid provisions (§ 306 BGB).

Governing law and place of jurisdiction

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from or in connection with this Agreement is Berlin, Germany. We may also bring an action at your general place of jurisdiction.

Automatic termination of continuous streams

In dfine.io Streaming Classic, a continuous live session ends automatically after 24 hours of uninterrupted operation. The stream slot then stays paused until you unblock it in the dashboard. If you need a longer session, please take the necessary steps before it ends. We may also end streams without prior notice where this is necessary to keep the systems stable and the Services working properly.

Changes and amendments

We may change this Agreement for future periods where there is a valid reason, such as new features, changes in the law or in case law, or changes to the infrastructure we use. We will send you the changed terms by email at least six weeks before they take effect. You may object to the changes within this period; if you object, either party may terminate the contract with effect from the date the changes take effect. If you do not object in time, the changes are deemed accepted; we will point out this effect, your right to object and the deadline in our notice. Changes to the main obligations, such as the scope of the Services, require your consent; price changes follow the section “Billing and payments”.

Acceptance of these terms

You accept this Agreement when you create an account or order a plan. If you do not agree to this Agreement, you may not use the Services.
